End user license agreement

This end user license agreement ("Agreement") governs your use of the ZigiOps software and related services provided by ZigiWave. By installing, accessing or using ZigiOps, you agree to these terms. A signed enterprise agreement, where one exists, prevails over this default.

1. License grant

Subject to your compliance with this Agreement and payment of applicable fees, ZigiWave grants you a non-exclusive, non-transferable license to use ZigiOps for your internal business purposes during the subscription term, whether deployed on-premise or as a hosted service.

2. Restrictions

You may not reverse engineer, resell, sublicense or provide ZigiOps as a service to third parties except under a separate OEM or partner agreement; remove proprietary notices; or use the software to build a competing product.

3. Data handling

ZigiOps is stateless and does not store your customer data. You remain responsible for the systems you connect and for ensuring you have the rights to integrate and migrate data between them.

4. Intellectual property

ZigiWave retains all right, title and interest in ZigiOps, including all improvements and derivative works. No rights are granted except as expressly stated here.

5. Warranties & disclaimers

ZigiOps is provided on an "as is" basis to the extent permitted by law. ZigiWave disclaims implied warranties except as required by applicable mandatory law or a signed agreement.

6. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and aggregate liability is limited to the fees paid in the preceding twelve months.

7. Term & termination

This Agreement applies for the duration of your subscription. Either party may terminate for material breach not cured within a reasonable period. Upon termination, your license ends and you must cease use of the software.
